BY CHECKING THE "I AGREE" BOX, AGREEING TO TERMS ELECTRONICALLY, OR BY ACCESSING C-REGISTRY.US OR RELATED WEBSITES (the "Website"), YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT (the "Agreement"). DEFINITIONS For the purposes of this Agreement, definitions of terms will be as follows: ACCESS – "Access" or "Accessing" will mean the process of locating, reading, caching, displaying or interacting with stored electronic information or data, such as text, images, music, videos and HTML documents, via a software application, including but not limited to a web browser (herein referred to as "ACCESS" or "ACCESSING"). CONTENT – "Content" will mean copyrighted and not copyrighted intellectual property, including images, video, music, audio, movies, illustrations, graphics, icons, logos, and other 2D and multi-dimensional time-based, sound-based and image-based media, in whole or in part (herein referred to as "CONTENT"). INFORMATION – "Information" will mean individual and aggregated data, in various combinations of text, audible and visual presentation, including but not limited to URLs and dates of use of CONTENT, claimed ownership and authorship of CONTENT, identity and contact information of users of The COPYRIGHT REGISTRY and claimed rightsholders of CONTENT, and other information relating to CONTENT, whether provided by YOU, third parties, automated processes or other means (herein referred to as "INFORMATION"). VERIPIXEL – "Veripixel" will mean a patent-pending process of The COPYRIGHT REGISTRY that derives a unique identification from each digital file of visual CONTENT and inserts multiple color pixels in the upper left corner of said visual CONTENT, such that this pixel-based identification announces that said CONTENT is copyrighted and associates it with INFORMATION in The COPYRIGHT REGISTRY that is related to that particular CONTENT (herein referred to as "VERIPIXEL"). ACCESS As a condition of ACCESS to CONTENT and INFORMATION as defined herein, YOU agree to be bound by international and United States copyright laws, including but not limited to the International Berne Copyright Convention, the 1976 U.S. Copyright Act, and The Digital Millennium Copyright Act Of 1998 ("Copyright Law"). Furthermore, your participation in The COPYRIGHT REGISTRY is subject to your continued compliance with the policies, terms and conditions of The COPYRIGHT REGISTRY, which may be modified without advance notice. YOU are granted access to the Website and INFORMATION by The COPYRIGHT REGISTRY, which, at any time in its sole discretion, may deny further access by YOU and alter or delete INFORMATION furnished by or relating to YOU for any reason, including but not limited to any arbitrated decision that determines that any effort by YOU to use The COPYRIGHT REGISTRY for any deception or deceptive purpose. The COPYRIGHT REGISTRY reserves the right to discontinue the use of any CONTENT or INFORMATION for any reason and elect to replace same with alternate CONTENT and INFORMATION. Upon notice of any discontinuance of the use of a particular CONTENT or INFORMATION, you, your employer and your client, if applicable, agree not to use the same in the future. COPYRIGHT REGISTRY trademarks and trade dress may not be used in connection with any product or service that is not owned by The COPYRIGHT REGISTRY in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits The COPYRIGHT REGISTRY. In support of the foregoing, a qualified representative of The COPYRIGHT REGISTRY will so testify in a U.S. court of law as an expert witness upon mutually agreeable terms if requested to do so by the entity that paid for and to which the original Report was issued. YOU represent and warrant: All INFORMATION provided to or made accessible by The COPYRIGHT REGISTRY is true, accurate and complete to the best knowledge of YOU. MISCELLANEOUS Jurisdiction and Attorney&#39s Fees Any and all disputes, with the exception of copyright claims, arising out of, under or in connection with this Agreement, including, without limitation, the validity, interpretation, performance and breach hereof, shall be settled by arbitration in New York, New York pursuant to the rules of the American Arbitration Association. Judgment upon the award rendered may be entered in the highest court of the forum, State or Federal, having jurisdiction. This agreement, its validity and effect, shall be interpreted under and governed by the laws of the State of New York. If YOU are an agent for or an employee of a non-U.S. Company but operates in a place of business in the United States or its territories, expressly agrees that any dispute regarding this contract shall be adjudicated within the United States in the manner described here. Copyright claims shall be brought in the Federal Court having jurisdiction. YOU agree to be subject to the jurisdiction of the Federal Court of the appropriate district court of New York. If The COPYRIGHT REGISTRY is caused to present claims or suit as a result of any breach of the above terms set forth, it shall be made whole for such reasonable legal fees or costs by YOU. No Assignment: This agreement is not assignable or transferable on the part of YOU No Waiver: No action of The COPYRIGHT REGISTRY, other than express written waiver, may be construed as a waiver of any provision of this Agreement. A delay on the part of The COPYRIGHT REGISTRY in the exercise of its rights or remedies will not operate as a waiver of such rights or remedies. A waiver of a right or remedy on any one occasion will not be construed as a bar to or waiver of those rights or remedies on any other occasion. Entire Agreement: This Agreement and the Invoice contains all the terms of the agreement between The COPYRIGHT REGISTRY and YOU and no term or conditions may be added or deleted unless made in writing and signed by both parties. In the event of any inconsistency between the terms contained herein and the terms contained on any purchase order or other writing sent by YOU, the terms of this Agreement shall govern.
